Terms and Conditions for the Use of NLP and Deep Learning-based Requirements Management Software


1. General Information

1.1 Software Description The software leverages NLP and deep learning technologies to automate the creation of requirements documents, generate storyboards for scrum teams, and integrate with project management tools such as Jira and Asana. It consolidates all documentation into a single location, providing a single source of truth. The target audience includes Product Managers, Project Managers, Business Analysts, Business Architects, Delivery Managers, and Pre-sales Consultants.

1.2 UsageThe software is designed for unrestricted use across industries and business domains. There are no limitations on the type of projects or documents it can handle.

2. Licensing

2.1 License Type The software is offered on a subscription-based model. Trial licenses are also available, although effective use during the trial period may require implementation support to process a substantial volume of documents for training the software.

2.2 User Limits There are no restrictions on the number of users, devices, or installations for each customer’s subscription.

2.3 Termination Policy The license may be revoked or terminated in cases of misuse, including but not limited to unauthorized access, violation of the terms, or usage beyond the agreed scope.

3. Marketplace Requirements

3.1 User Limits The software is listed on Atlassian, Azure, and AWS marketplaces. Customers must comply with the respective marketplace’s terms and conditions while accessing and using the software.

3.2 Termination Policy For customers utilizing Atlassian Marketplace, the software integrates with Confluence for storing and retrieving documents related to requirements management. Customers are expected to adhere to the terms of any third-party platforms integrated with the software.

4. Payments

4.1 Pricing and Payment Terms Payments must be made using credit cards through designated payment gateways. Refunds are provided only on a pro-rata basis for unused subscription time. Time already elapsed, whether the software was used or not, is non-refundable.

4.2 Currency and Taxes Payments are accepted in USD. Customers are responsible for bearing any applicable taxes, duties, or levies in their jurisdiction, which are not included in the software’s pricing.

5. Data and Privacy

5.1 Data Handling The software does not store personal information about customers. Operational data, such as login credentials and project-related details, is collected to enable core functionality. Customer project data processed by the software remains under the customer’s ownership.

5.2 Third-Party Integrations The software integrates with third-party platforms, such as block storage solutions for customers not using Atlassian Confluence. Customers must comply with the terms of these third-party platforms.

5.3 Compliance The software complies with India’s Data Privacy regulations. Currently, it does not conform to GDPR or CCPA standards but aims to adhere to them in the future.

6. Liability and Warranty

6.1 Limitation of Liability The maximum liability of the software provider is limited to the total subscription amount paid by the customer. In cases of liability, refunds will be issued for the subscription amount paid, with no further damages, direct or consequential, provided.

6.2 Warranty Terms The software relies on cloud service providers for hosting. Downtime, if any, is part of the subscription, and customers will be compensated with subscription extensions equivalent to any downtime exceeding one week.

7. Support and Updates

7.1 Support Policy Customers can email issues 24x7. Active support is provided between 7:00 AM and 11:00 PM Indian Standard Time. Chat support is currently unavailable, while phone support is offered based on the subscription category.

7.2 Updates and Upgrades All updates and upgrades to the software are included in the subscription. These updates enhance features, functionalities, and performance at no additional cost.

8. Term and Governing Law

8.1 Contract Duration The contract remains active as long as the subscription is valid. The minimum subscription period is six months.

8.2 Governing Law and Dispute Resolution This agreement is governed by the laws of India. Jurisdiction is vested in the courts of Chennai, India. Disputes may be resolved through arbitration, conducted in Chennai, India.

9. General Provisions

9.1 Amendments The provider reserves the right to update or modify these terms and conditions at any time. Customers will be notified of significant changes, and continued use of the software constitutes acceptance of the revised terms.

9.2 Entire Agreement These terms and conditions constitute the entire agreement between the customer and the provider regarding the use of the software and supersede any prior agreements or understandings.

9.3 Severability If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
